I don't think it's fair to jump to conclusions. ACH is on our top-priority list for a review because they are a dividend paying company. I am sure that it would be easy to just PM heather and ask her to post something on twitter.

That being said, we sent heather a PM about 3 days ago and we did not yet receive a response. Altcoinherald, if you see this could you just give us a quick ping back? Thanks.

Hello Printshop~

Thanks for your message - we've been very busy at ACH, sorry if I missed your message.

Please keep an eye out for a PM from me very soon..

Thanks for your consideration and my apologies for the delay..

Hello Heather,

can you explain why do you transfer incoming NXT from sold shares to Account NXT-FZX8-TG5C-65HL-59J5V which buys back continuously your shares from you.
That account holds more than 20% of the sold shares. http://nxtreporting.com/?ac=4435491253725364134

For example, the 22178.28990112 NXT from Oct 11th came directly from the ACH-account, other payments went not directly but with a detour through bter.

Seems like a circulation for me. Maybe there is a good reason for this.
I'm looking forward for your answer,

Thanks

Edit:
Seems, there are a few more accounts receiving NXT from ACH-Account, that do nothing else than buy back ACH-shares:

NXT-XBSR-PC7M-N2P5-72YR7 with 144.000 Shares (nearly 23%!)
NXT-FZX8-TG5C-65HL-59J5V with 131.000 Shares (nearly 21%!)
NXT-C4SZ-HDS5-HG8X-6LFLJ with 104.000 Shares (nearly 17%!)
NXT-M6GM-BQYH-8A8F-BKDC5 with 17.000 Shares

All these accounts received NXT from official ACH-account and did nothing else than buy back ACH-shares.....
That looks like you bought more than 60% of sold assets on your own! Is that correct?

Hello CoinTEr~

Thanks for your interest and inquiry.

These transactions are part of private sales being conducted, as per third party requests.

I hope this helps clear things up and thanks for your consideration!

Best Regards,
Heather

...
Dividends will be calculated as 40% of our gross revenues.
...
Operational expenses will not be counted before dividends are calculated. Our operating expenses are minimal and our experienced team remains committed to frugality.
...
Our main priority will be to provide investors with a safe and steady return on their investment.
...
Asset holders of ACH will be entitled to a percentage of all revenue derived from banner ads, contextual ads, affiliate partnerships, any capital gains derived from investments, contra arrangements and as well as any future entrepreneurial activities that expand on our operations and add value.
...
Altcoin Herald issued 5,000,000 non-dilutable shares on September 1, 2014. Each share asset titled 'ACH' costs 1 NXT.
...
Proceeds from the financing will be used to invest in various revenue generating activities to ensure a minimal dividend payment outside of advertising and affiliate revenue related activities.
...
Dividends are calculated in a proportional manner. I.E. total shares offered/your shares x 40% of revenue.
...
Additional Security may be created under the same company name to represent new or emerging income streams or business activities or to represent mergers and acquisitions. *Your interest may be diluted.

Hi, quick question. The language you use above suggests that shares of ACH represent ownership of and control of ACH. Can you confirm this, or that ACH only represents the rights to an income stream? Second, if they only represent an income stream, can you please confirm whether or not this is an official company bylaw or if it is an unofficial contract (i.e. staking your rep on it).

Asking as a potential investor! Thx.

Thanks for your inquiry.

We are offering revenue share, not ownership of the website.

It's offered as a 'Secure Asset' as all other projects on the SAE are.

We've offered all of the details here: https://alth.co/rDPPI if you'd like to read them in full.

Thanks again for your interest and have a great day!

Hello CoinTEr~
...
These transactions are part of private sales being conducted, as per third party requests.

I hope this helps clear things up and thanks for your consideration!

I spoke with Heather privately and got a similar answer, although she added that it was a German group of investors who were familiar with BTC.

This answer is not acceptable for a couple of reasons. First, the company (ACH) initiated the account. It's not a public account which would give full transparrency as Heather promised investors in the OP.

ACH created the account, apparently on behalf of a third party. But accounts named "relay" were sometimes used to mask the fact that the money was all coming from ACH. When bid orders were were made, they were made in small amounts spaced out over time. This doesn't make any sense to me. Barring an explanation from healther, these actions make it look like ACH was trying to hide the recycling of investor money into free shares for Healther or her friends.

I asked Heather about all of this in PM and she told me that she wasn't going to answer and, that I could say whatever I wanted to in my report. Well, it looks like she's been caught dilluting her shareholders so she can retain the majority of dividends for herself. It looks like she has been transferring shares to herself without paying for them, and cannot come up with an explanation for her behavior. I don't know what to think, obviously she has a good news site, but she has broken her contract with investors ("We will provide complete transparency in regards to operations by using public Bitcoin addresses for Revenues and Expenses.")

This doesn't really make a lot of sense, and I'm a little upset that Heather isn't going to tell us anything about these transfers. It's a red flag. But I wouldn't call it a scam. There might be a logical explanation. I'd like to hear it.

Thanks, Heather for your quick response.

But I'm with printshop. If these accounts would be investors accounts, why do altcoinherald have to provide the nxt to buy the assets?
Investors buying nothing else than ACH? And not once, but in small charges over a longer time?
And often, shortly after NXT have been transfered to bter from the ACH-account,
these accounts received same or smaller amounts from bter and are instantly buying ACH for 1 NXT per share.
If you would have a buy-wall for 0.9999999 that would be fine! So you would give investors the chance to quit their investment.
But buying back at issue price, burning fees at bter-washing is not clean business.

It don't seems like scam for me, too, but I think, Heather was disappointed of the "offical" sales and tries to give apparent of a much bigger demand than actually is.
Also 4/5 of all buy-orders at low prices are from these specific accounts. There would be nearly no demand without these questionable accounts...

So please, Heather, give a better explanation, maybe I'm wrong, but I'm out of this until I get an acceptable statement.

Hello all and thanks for your continued interest in ACH.

I've offered an explanation and as many details as I can surrounding the private sales.

To answer MartisMartis' question - all shareholders of record as of 11:59 PM EST (New York Time) on October 15, 2014 will qualify for our first dividend payment being issued on November 1, 2014.

Thanks again for your consideration and have a great day!

Sorry but you haven't offer an explanation and no details to the inquiries. There was only:

Looks more like a "private giveaway" to me, diluting the value of your asset as printshop has written in his post.

I wish you every success with your business but I will not invest as long as there is no more transparency with regard to this topic.

As a company requesting public funds, it's prudent to at least discuss your public funding operations. The what, not the who. I don't need to know who your private investors are, but if they are involved in purchasing public shares, as an investor I would like some confidence that you're not painting the tape on us. This development does not encourage me.

Hello sv3n~

Thanks for your interest and your message.

As I've stated, this is a private sale from someone that isn't active (and doesn't want to be active) in the NXT community, but trusts us.

They committed to buying assets in our offering despite their reluctance to be involved with the NXT community.

We've slowly been acquiring shares on their behalf - all transactions are visible on the blockchain.

I'm unsure how this affects anyone else, as dividends will be paid out to all ACH holders.

The private sales are being conducted at 1 NXT each, so they don't have competitive advantage over anyone else that's also buying at 1 NXT.

It's also worth noting there are over 4 million outstanding assets, so on a percentage basis their holdings are pretty insignificant.

Thanks for your interest and your consideration - have a great day!
