Right after having a look around I noticed there are a few investment type fund listing on NXT.

So let me try and separate us from them a little bit.

We are focused on attracting people outside of the crypto community and getting them to invest with us their fee's make up our revenue.

We charge them a management fee and a performance fee.

Strategy.

Unlike most funds we do very little speculation our fund is a long term investment fund for people who want exposure at lower risk. That said we do hedge downside risk when we perceive a significant drop in prices but mostly we do not speculate on prices.

So as you can see our customers have a long term view they hold for a minimum period of 1-3 years that means a sustainable stream of income for us and for you!

We are also building open source software to help market makes complete transactions more efficiently.

There is a lot more including a 48 page document and a 13 page mini version found on our website.

Very well thought through, nicely presented! Welcome to NXT AE!

Appreciate the personal info in the prospectus (name, address and bank information is there, for anyone to check), can you please explain what is your current business form (sole trader, LTD?), and how do you comply with the UK rules for issuing securities?

A few more questions:

- where are you at this point in meeting the initial funding goals? Stage 1: 120 BTC?, Stage 2: 1100 BTC? (I understand this is across multiple funding sources)
- Please provide verification that you are indeed representing Cryptovest (the prospectus states N/A for NXT AE). Including the Asset ID in the prospectus would be enough for that.
- The company address is in a residential area in London...

Yes we believe that being transparent  is the best way to run a business.

The company is a LTD and it is a holding company you can see a summary of the corporate structure here.

It is currently registered as dormant because we are fund raising and not officially trading yet.

In the UK there are clear rules for equities but what we are selling are not equities they are digital assets of the company they have no formal legal holding. Though we voluntarily allow them to be transferred into real equity which allows us to skirt the regulation on equities.  These are effectively convertible royalties ( convertible into equity)

Yes we are going all out and trying to raise from as many sources and platforms as possible if you know anything I have missed please let me know.

Round 2 : 580 BTC
Round 3 : 1200 BTC

Originally this was our target before we would be able to start paying dividends however we actually managed to obtain a few trail customers pre fundraise allowing us to pay a dividend now monthly.

Forgive me creating the asset on NXT was only done recently I will update the document hopefully that will serve as proof. Also there are a few more pictures in the document now.

Based on the clarification of ownership, as stated in a corporate structure, it seems your corporation retains the rights to all assets and profits generated by your operations. Yet you seem to have stated that we will be able to -- at any time -- convert non-voting non-paying shares (ex. class B) shares into voting, paying shares (ex. Class A)? Is this an official corporate bylaw? Or, what assurances do we have that these rights are immutable?

How are you classifying your listing wrt accounting? The way I've set mine up is we have a shareholder loan agreement, convertible up to a limit of 50 times. If I listed on the NXT AE I would call it an auction, and the remaining shares would have a buyout at the end of the auction. This is based on the NXT AE being a private investment club (wouldn't you agree?)

Ambitious but you seem to be doing well.

We classify these assets as non equity digital convertible royalties that give CVFS the option to pay up to 15% of the company's profits to the holder and we are committed to allowing anyone who purchases a Cryptovest Asset to convert into the hold-co shares alongside similar terms to any VC/HNW investors that purchase shares in the traditional manner we have allocated 15% of the company's shares for this purpose and it will be made clear to any fiat investors coming on-board.

Because of the type of business we will be operating, we have to have an external auditor so we will be forced to follow the general fund management account rules which are pretty strict dictated by our auditor.

What is "wrt accounting" I am unfamiliar with that acronym.

In terms of our fundraise we have a maximum amount of funds we can raise both in fiat and in crypto we will keep raising funds until we hit that target.

It is important to note that we will eventually move from investment club into investment fund so we need to prepare for that.

btw, "wrt accounting" means with-respect-to accounting. I meant, what did you tell your accountant these assets were :)

Looks like nobody's buying this asset at the moment. Need more marketing probably?
It was hard to understand for me, not native english speaker, what you are actually planning to do.
Try to edit your post, less words, more information, add a beautiful picture with "money stream" or smth else, this attracts people ;D

We have sold more then i expected in NXT tbh and there are some orders left that have not been filled considering we only issued the asset a while ago.

They will also i think it will pick up substantially once we pay our first dividend which is paid every 30 days.

You are correct I will do my best to increase the clarity of our offering.

We are just finishing our marketing this post was just a quick hello i will create a controlled post later keeping your points in mind.

Dear Printshop,

Our accountant/auditor has worked with crypto based hedge funds before so they are familiar with them as assets. In terms of balance sheet our classification will depend on our jurisdiction.

Well our focus is sustainable cashflow I didn't think it would be possible until we raised the full first round funding but we have a few customers early who are providing some basic cashflow. Once the fundraise is complete I will focus again on building the number of customers up.

Bought this asset, just for fun.
Palease, tell me, Lee has nothing to do with this, (but he would have chosen something like "Le Grande A 1", instead of "Little P 1"  :) ) as i would sell immediately, but to whom, no bid orders at the SAE, why ?  There´s some effort behind it, no ?
The plan just sounds good, so i´m hodling, I´m a believer . .  :)

What happens if you don't raise 120 btc in round 1?

Dear Darko,

We will make our first payment on March the 8th so 30 days after issue and then monthly from then on out.

If we don't raise the full 120 our dividends will still not be at their higher level the more capital we have the more profit we can make check  this is also a key point where we believe the dividends will be more sustainable.

We will raise the full amount just no guarantees on how long it will take.

I know I know i was even tempted to put NXT in the description.

The problem is when this video was originally made i was not aware of NXT you will have to forgive me there will be another video and I will mentioned NXT.

As for promotion our customers can purchase assets in NXT as a chosen platform if they choose to  ::). We also did a talk on NXT during the last seminar.

On that note i need some help with the new ticker i was thinking CVFSD1  or CVFSD  (D for dividend)

Also we are giving people their first step into NXT because when they invest with us we automatically add NXT to their portfolio atm.
